INTERNAL DEALING AND MARKET ABUSE

SERI INDUSTRIAL S.p.A., following a resolution by the Board of Directors, has adopted a procedure for the treatment of confidential information concerning the way in which this information is managed and communicated externally. This procedure applies to those who hold a strategic role in the Group's activities and to those who become aware of so-called price-sensitive information concerning the Issuer or the Group.

 

The procedure allows avoiding that the external diffusion of information concerning SERI INDUSTRIAL occurs in a non-selective, untimely or in an incomplete and inadequate form. Particular attention is also paid to the disclosure to the public of so-called price sensitive information whose externalisation, due to its importance, could have repercussions on the regular formation of prices on the regulated markets where SERI INDUSTRIAL shares are traded.

 

SERI INDUSTRIAL has also adopted a code of conduct on internal dealing that regulates

  • the information obligations that relevant persons and/or persons closely associated with relevant persons are required to comply with in relation to transactions they perform on SERI INDUSTRIAL financial instruments or other financial instruments linked to them;
  • the obligations that SERI INDUSTRIAL is obliged to observe towards the market in relation to transactions on financial instruments carried out by relevant persons and persons closely connected to them.
